First, if MS did open source Windows, the details would be in the license they choose to use. Open Source != Free (as in freedom, not beer).

Second, exposing their code base could be dangerous. Their code is replete with vulnerabilities...many known, probably many more unknown. Crackers would have a field day!

My guess is it will never happen.
I'm wondering if the effort vs sales reward of maintaining a operating system is just not worth it for microsoft - and one of there competitors is a group-sourced open option with a cute penguin logo.

Ummm...it better be worth it considering it's all they've got (aside from an office suite dependent on the platform).

What else do they have, Windows Phone? (ha!)

I think the are making a big play for the seamless corporate market. Seamless secure cloud for secure networks across phone, tablet and computer and teleconference (Skype). Believe it or not, my company went blackberry android and, by May, we will be 100% Microsoft phones. More than 10,000 units. The corporate crowd is loving it in the post Blackberry era. Finally a new, secure option is their claim ("their" being the IT and corporate governance teams at big companies).
