This sounds like a homework problem.
From the parts list, my guess is that you are supposed to use the counter and DAC to ramp a signal and compare it to the signal being digitized with the opamp. The AND gate is probably supposed to be used to suppress the counter's clock. Not a very good way to do an ADC, but it gets many of the basic ideas across.
